GOVERNING LAW This Agreement shall be interpreted and construed in accordance with the laws of the Commonwealth of Pennsylvania (without regard to its conflicts of law rules). You hereby expressly consent to exclusive jurisdiction and venue in the state courts located in Philadelphia, Pennsylvania, Philadelphia County for all matters arising in connection with these terms of use and/or your access or use of the Website. This Agreement shall be interpreted without regard to any rule of construction based upon which party drafted this Agreement. WAIVER; REMEDIES The failure by us to partially or fully exercise any rights or the waiver of any breach of these Terms of Use, shall not prevent a subsequent exercise of such right by us or be deemed a waiver by us of any subsequent breach by you of the same or any other term of these Terms of Use. Our rights and remedies under these Terms of Use shall be cumulative, and the exercise of any such right or remedy shall not limit our right to exercise any other right or remedy. SEVERABILITY; REFORMATION Each provision of this Agreement shall be treated as a separate and independent clause and if any of them are determined by a court of competent jurisdiction to be invalid or unenforceable for any reason (including without limitation, because such provision is excessively broad as to scope, activity or subject), such provision or provisions shall be construed by the appropriate judicial body by limiting and reducing it or them so as to be enforceable to the fullest extent compatible with the then applicable law. MISCELLANEOUS These Terms of Use and your Membership with Optonome are personal to you and may not be transferred or assigned. Use of your Membership is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms of Use, including without limitation this Paragraph. If any part of these Terms of Use shall be held or declared to be invalid or unenforceable for any reason by any court of competent jurisdiction, such provision shall be ineffective but shall not affect any other part of these Terms of Use, and if any provision shall be held to be excessively broad as to scope, activity, duration, or subject, it shall be construed by limiting it to be enforceable to the maximum extent compatible with applicable law. Our performance under these Terms of Use is subject to existing laws and legal process, and nothing contained in these Terms of Use is in derogation of our right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Website or information provided to or gathered by us with respect to such use. PRIVACY POLICY OF OPTONOME Optonome maintains strict customer information privacy policies and uses state of the art technologies to safeguard customer information and communications from unauthorized intrusions. Companies, governments, or other organizations, like Optonome, often need to collect customer identifiable information in order to conduct business and offer services.
