GOVERNING LAW This Agreement shall be interpreted and construed in accordance with the laws of the Commonwealth of Pennsylvania (without regard to its conflicts of law rules). You hereby expressly consent to exclusive jurisdiction and venue in the state courts located in Philadelphia, Pennsylvania, Philadelphia County for all matters arising in connection with these terms of use and/or your access or use of the Website. This Agreement shall be interpreted without regard to any rule of construction based upon which party drafted this Agreement. WAIVER; REMEDIES The failure by us to partially or fully exercise any rights or the waiver of any breach of these Terms of Use, shall not prevent a subsequent exercise of such right by us or be deemed a waiver by us of any subsequent breach by you of the same or any other term of these Terms of Use. Use of your Membership is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms of Use, including without limitation this Paragraph. If any part of these Terms of Use shall be held or declared to be invalid or unenforceable for any reason by any court of competent jurisdiction, such provision shall be ineffective but shall not affect any other part of these Terms of Use, and if any provision shall be held to be excessively broad as to scope, activity, duration, or subject, it shall be construed by limiting it to be enforceable to the maximum extent compatible with applicable law.
